Flying Leap Games Brand Protection Policy
With integrated
Minimum Advertised Pricing Policy & Guidelines (MAPP)
Effective Friday July 15, 2022
Flying Leap Games unilaterally adopts this Brand Protection Policy and with integrated Minimum Advertised Pricing Policy & Guidelines (MAPP) as of July 15th, 2022. This MAPP will increase the value of the FLG brand and also support all resellers of (FLG) products by providing a way to prevent said products from being devalued. As of July 15th, 2022 all customers who purchase FLG products for purposes of reselling them are, by virtue of the purchase of FLG products, bound by this policy and required to adhere to the guidelines laid out in it. Our brand and products are at risk of being jeopardized and devalued by the marketing tactics and counterfeit products of third party resellers. FLG believes that enforcing the following brand protection requirements will reduce counterfeiting, fraud, and/or devaluation of products, which will also enhance customers’ perceived value of our brands and products. This policy will encourage resellers to invest in FLG products while also serving the best interests of our stakeholders, including game designers, consumers, and wholesale resellers that are brick and mortar and/or online.
This policy applies to all of our published brands and games, including, but not limited to, Wing It, Wing It Beyond, The Million Dollar Doodle, Jewish Card Revoked, Just Tell Me What to Do, and any future brands published and/or sold by Flying Leap Games. A list of MAPP Products and their MSRPs and Minimum Advertised Price is available in the chart at the end of this policy. FLG may add items to, or delete items from, the MAPP Price List from time to time and has the right to amend prices without notifying all resellers of products.
Here is an overview of guidelines third party sellers must follow:
- MAP (Minimum Advertised Price). No reseller of our products may advertise or otherwise promote products at a Net Advertised Price lower than the current MAP as given in the chart at the end of this policy unless explicitly authorized by Flying Leap Games. Net Advertised Price shall mean the stated Advertised Price reduced by the value of any discounts, coupons, frequent buyer, or other promotional programs or incentives, whether special events, promotions, or regular terms of business. Discounts cannot be permanent and while FLG will not set a time limit on sales, FLG is authorized to reach out to any reseller that is rarely if ever raising the price from a discounted price lower than the current MAPs as given in this policy.
- Types of Advertising. This Policy applies to all forms of advertising and promotion both online and offline in any and all media.
As used herein, the terms “Advertise” and “Advertising” mean to display, announce, broadcast, or otherwise communicate to the public by any means whatsoever, to make a general offer to sell or a general solicitation of offers to buy. Without limitation, the terms include communicating in newspapers, magazines, catalogs, mailers, flyers, inserts, coupons, posters, public signage, and other printed materials; on television, radio, and other broadcast media; and by means of email, email newsletters, text message, social media, the internet, and other forms of electronic communications. The terms further include, without limitation, the price for a MAPP Product shown on the internet in response to a web browser search; on a Reseller’s homepage or the webpages within its site or domain; on e-commerce sites i.e. through a third-party site or domain; on banner advertisements, auction sites, shopping sites, forums, and destination pages; and via website features, paid search ads, shopping comparison ads, such as automatic price displays for any items prior to being placed in a customer's online shopping cart, Click-for-Price, automated bounce-back pricing emails, pre-formatted email responses, and other similar features initiated by the Reseller that promote a price that constitutes an Advertised Price under this Policy.
- Authorized, Authentic Products Only. Resellers may only offer for sale authentic, authorized products. Any sale of unauthorized or counterfeit products may result in civil and/or criminal liability and prosecution.
- No Conveyance Enabling Violation. No reseller may convey any FLG products covered by this Policy to any person or entity who may violate any of the terms of this Policy.
- No Restriction on Pricing. This MAP applies to Advertised Price and does not in any way restrict what our resellers may charge at the final point of sale. This means a physical brick and mortar sale may offer a discount on a game but may not advertise it.
- Violations. A Reseller violates this MAPP if it advertises any MAPP Product below the Minimum Advertised Price or resells MAPP Products to a Reseller who Advertises MAPP Products below the Minimum Advertised Prices.
- Bundling. Where MAPP Products are bundled with other products (whether or not the other products are manufactured by FLG), it shall be a violation of this MAPP to Advertise or sell the bundle at a price that is less than the sum of the Minimum Advertised Prices of the bundled products or violates the letter or spirit of this MAPP.
- Remedies. FLG reserves the right to take any action or pursue any legal remedy it deems necessary or appropriate to ensure compliance with this Policy. Violation of the terms of this Policy may result in termination of your ability to purchase our products. FLG may take such actions without any prior warning to Reseller.
- Construction. Since no Policy can cover every scenario or situation that could potentially arise, FLG shall use its sole reasonable discretion to address actions designed to circumvent the spirit of this Policy. This MAPP will be construed to give maximum effect to its purpose of restricting the right to Advertise MAPP Products at a price that is less than the Minimum Advertised Price. FLG has the right, in its sole discretion, to interpret this MAPP and determine how it applies in any specific situation. will not negotiate any of the terms contained herein.
- No Negotiation. FLG adopts this Policy unilaterally and without seeking or accepting any input, assurance of compliance, or confirmation of this Policy. All matters of interpretation of this Policy shall be the sole, unilateral decision of FLG.
- Updates to Policy and MAP. FLG reserves the right to modify or amend the terms of this Policy at any time at its sole discretion without consulting resellers or other industry partners and without notifying every single reseller out there. FLG will try to, when time permits, notify resellers when a MAP is violated and will when reasonable offer a single warning notice before withdrawing the right of resellers to purchase any FLG products. Again, in this way we hope to protect our brand, maintain its competitiveness, and build trust with resellers as a whole by maintaining the brand’s value.
